Section 13 let us suspend or terminate an account "with or without cause and with or without notice". It is common boilerplate, but for a product whose pitch is that you can hold your own footage and leave whenever you want, it reads as a standing right to close a paying customer for no reason. It replaces that with four defined grounds: material breach of the Terms with a ten day cure period, no cure period for a repeated breach of the same obligation; unlawful use, infringement of a third party's rights, or a security risk, where we may act immediately; fees unpaid fourteen days past due after notice; and legal compulsion. Defined grounds need their counterparts, so the clause also carries what we owe in return: suspension while we investigate comes with a duty to say why and to restore access if the suspicion does not hold, terminating for any other reason or discontinuing the Service or a plan takes thirty days notice and a refund of prepaid unused fees, and User Content stays available for export for thirty days after termination. Section 6 had the same flavour and is softened to match, from removing content "at our sole discretion" to where we reasonably determine it violates the Terms. That refund promise contradicted Section 5 and the Refund Policy, which both say every fee is non-refundable including unused months. The general rule exists to stop buyer's remorse refunds, not to let us keep a prepaid year we cut short, so Section 13 now overrides them explicitly and the Refund Policy states the same exception rather than leaving the two pages to disagree.

2. Description of Service

|
OpenFrame is a video review and approval platform that enables creative professionals

and their clients to collaborate on video projects through timestamped comments,
|
|
annotations, version management, and approval workflows. The Service is offered on a
|
|
subscription basis with a free trial period.

You must be at least 18 years old to use the Service. By using the Service, you

represent that you are at least 18 years of age and have the legal authority to enter

into these Terms. If you are using the Service on behalf of an organization, you

represent that you have authority to bind that organization to these Terms.

5. Subscriptions and Free Trial

Certain features of the Service require a paid subscription. We offer a{' '}

which you may access paid features at no charge. At the end of the trial period, your
|
|
subscription will automatically convert to a paid plan unless you cancel before the
|
|
trial ends.

Subscription fees are billed in advance on a monthly or annual basis depending on the

You retain all ownership rights to the content you upload or create through the

Service (“User Content”). By uploading User Content, you grant us a

limited, non-exclusive, royalty-free license to store, process, and display your User
|
|
Content solely to provide the Service to you.

|
You are solely responsible for your User Content and represent that you have all
|
|
necessary rights to upload and share it. You agree not to upload content that: (a)
|
|
infringes any third-party intellectual property rights; (b) is unlawful, defamatory,

or harmful; (c) contains malware or malicious code; or (d) violates any applicable law
|
|
or regulation.

We may remove or suspend access to User Content where we reasonably determine that it

violates these Terms.

<p>You agree not to:</p>

Attempt to gain unauthorized access to any part of the Service or its related

Reverse engineer, decompile, or attempt to extract the source code of the Service

(except where permitted by the applicable source license, such as the Functional

<li>Use the Service to send spam or unsolicited communications.</li>

Use the Service to collect or harvest any personally identifiable information

without authorization.

Resell or sublicense access to the Service without written authorization from us.

8. Intellectual Property

are owned by IPEK TECH LLC or its licensors and are protected by applicable
|
|
intellectual property laws.

The core platform code is made available under the Functional Source License

|
(FSL-1.1-ALv2): the source code is publicly available and may be self-hosted, and each
|
|
release becomes available under the Apache 2.0 license two years after its
|
|
publication. Please refer to the license in the GitHub repository for details on
|
|
permitted use.

LOSS, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE

THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50.

directors, employees, agents, and licensors from and against any claims, damages,
|

losses, liabilities, costs, and expenses (including reasonable attorneys' fees)

arising from: (a) your use of the Service; (b) your User Content; (c) your violation
|
|
of these Terms; or (d) your violation of any third-party rights.

13. Suspension and Termination

<p>We may suspend or terminate your access to the Service if:</p>

you materially breach these Terms, including the Acceptable Use restrictions in
|
|
Section 7, and do not remedy the breach within ten (10) days of our written notice.

No cure period applies to a repeated breach of the same obligation;

your use of the Service is unlawful, infringes a third party’s rights, or
|
|
exposes us or other users to legal liability or a security risk, in which case we
|
|
may act immediately and without prior notice;

<li>

your subscription fees remain unpaid fourteen (14) days after their due date and we
|
|
have notified you; or
|
|
</li>
|
|
<li>we are required to do so by law or by a competent authority.</li>
|
|
</ul>

Where we reasonably suspect the conduct described in the second bullet above, we may
|
|
suspend your account while we investigate. We will tell you why, and we will restore
|
|
access if the suspicion is not borne out.

|
If we terminate your account for any reason other than the ones listed above, or if we
|
|
discontinue the Service or your plan, we will give you at least thirty (30)
|
|
days’ written notice, refund the unused portion of any fees you have prepaid
|

14. Governing Law and Dispute Resolution

regard to its conflict-of-law provisions. Any disputes arising from or relating to

these Terms or the Service shall be resolved exclusively in the state or federal
|
|
courts located in Wyoming, and you consent to personal jurisdiction in such courts.
